Terms of service

Effective date: October 24, 2026. Last updated: October 25, 2026.

These terms are an agreement between you and Barracuda Projects LLC ("we", "us"), which operates Filing Ahoy, the website at filingahoy.com and the email alerts it sends (the "Service"). By creating an account or using the Service you agree to them. If you do not agree, do not use the Service.

1. What the Service is

Filing Ahoy lets you keep a watchlist of stocks and emails you short summaries of certain public filings about those companies on the U.S. Securities and Exchange Commission's EDGAR system: Form 4, Schedules 13D and 13G, and Form 8-K. Each summary links to the original filing.

The summaries are produced automatically from the filings. A filing can be late, amended, incomplete or hard to read, and a summary can be late, incomplete or wrong. The original filing on sec.gov is the authoritative record. Filing Ahoy is not affiliated with or endorsed by the SEC.

2. Not investment advice

Filing Ahoy reports what was filed. It does not tell you what to buy or sell, it does not give personalized advice, and everyone watching the same company gets the same alert. Nothing in the Service is investment, legal or tax advice, or an offer or recommendation to buy or sell any security. You are responsible for your own investment decisions. We do not place trades and do not connect to brokerage accounts.

3. Your account

4. Acceptable use

Do not:

We may suspend or close an account that breaks these rules.

5. The Free plan

The Free plan costs nothing. It covers up to 3 stocks and one email a day when there are new filings on them. We may change or end the Free plan. If we do, we will tell account holders by email at least 30 days before the change takes effect.

5a. Paid plans

Paid plans. Plus costs $9.99 a month and covers up to 25 stocks with an email as each filing arrives. Pro costs $19.99 a month and covers unlimited stocks with an email as each filing arrives. Prices are in U.S. dollars.

Automatic renewal. A paid plan renews every month and is charged to your card on the same day each month until you cancel. We show the price and this renewal term next to the upgrade button and on the payment page before you pay.

Cancel online anytime. Use Manage billing on your watchlist page. Cancelling stops the next renewal; your plan stays active until the end of the month you already paid for, and then your account moves to the Free plan. Stocks beyond the Free plan limit stay on your list but are paused.

Deleting your account while you have a paid plan cancels the plan at the end of the month you already paid for. Your account keeps working until then and is deleted on that date, or within two days after it; you can undo this from your watchlist page before it happens. If you choose to delete everything right away instead, the plan ends immediately and the unused part of the month is not refunded.

Failed payments. If a payment fails, we show a notice on your watchlist page and Stripe may try the payment again. Your plan stays active while the payment is overdue; if it is not paid, the plan ends and the account moves to the Free plan.

Price changes. We will email you at least 30 days before a price change takes effect on your plan, and you can cancel before it does.

Payments are processed by Stripe. We do not see or store your card number.

6. Availability

The Service depends on SEC EDGAR, our hosting provider and our email provider. Any of them can be slow or unavailable, and alerts can be delayed or missed as a result. We do not promise that the Service will be available at any particular time or that any alert will arrive by a particular time.

7. Limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind, to the extent the law allows. To the extent the law allows, we are not liable for any loss arising from your use of the Service or from relying on an alert, including trading or investment losses, and our total liability to you for any claim about the Service is limited to the greater of the amount you paid us in the 12 months before the claim and $50.

Some places do not allow some of these limits, so they may not all apply to you.

8. Changes to these terms

If we change these terms, we will post the new version here with a new effective date. If a change is significant, we will tell account holders by email before it takes effect. Continuing to use the Service after that means you accept the new terms.

9. Governing law

These terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. Any dispute about the Service will be brought in the state or federal courts located in Florida, and you and we agree to their jurisdiction.
