Insider trading alerts
These alerts cover the trades company insiders are required to report to the SEC. A reported trade is a public filing the law asks for, not a sign of wrongdoing. Filing Ahoy emails you those reports for the stocks you follow.
Who counts as an insider
Section 16 of the Securities Exchange Act covers a reporting company's directors and officers, and shareholders who own more than 10% of a class of its equity securities registered under the Exchange Act. The SEC's rules require these insiders to report most of their transactions in the company's equity securities within two business days, on Forms 3, 4 or 5 (SEC, Officers, Directors and 10% Shareholders).
Two business days
General Instruction 1(a) of Form 4 says the form must be filed "before the end of the second business day following the day on which a transaction resulting in a change in beneficial ownership has been executed." A trade on a Monday is due by the end of Wednesday, when no holiday falls in between.
Buys and sells, and everything else
Each line on a Form 4 carries a transaction code. P and S are open market or private purchases and sales. Other common codes cover grants and awards (A), exercises and conversions of options and similar securities (M), and shares delivered or withheld to pay an exercise price or tax (F). How to read a Form 4 lists them in the SEC's words.
Our alerts lead with P and S, with the price and the total value, and put every other code in its own sentence, so shares withheld for tax do not read like a sale.
Form 4 from Jane Example at Example Corp (EXMP)
Example Corp (EXMP): Jane Example, Chief Financial Officer, bought 12,000 shares on the open market or privately at $41.20 on Oct 21, 2026, about $494,400. Now holds 58,300 shares directly.
Not investment advice
Filing Ahoy reports what was filed. It does not tell you what to buy or sell, and everyone watching a company gets the same alert. The original filing on sec.gov is linked in every alert, and the original is what counts.
