Form 4 code F, shares withheld to pay tax or an exercise price
When a Form 4 line shows code F, the insider covered a tax bill or an option's exercise price with shares, either by delivering them to the company or by having the company withhold them. The MACOM filing below shows the tax case, shares withheld when restricted stock units vest.
A one line F filing from MACOM
On October 30, 2026, MACOM Technology Solutions Senior VP and COO Robert Dennehy filed a Form 4 with a single line in Table I. It is dated October 28, 2026 and shows code F, 241 shares disposed of at $260.92, and 14,361 shares held directly afterward.
Footnote 1 says the company withheld the shares to cover his tax withholding obligation on restricted stock units that vested on October 28, 2026. The filing has no separate line for the vesting itself and no Table II entries, and the 10b5-1 box is not checked.
In a Filing Ahoy alert, a filing like this one reads as 241 shares withheld or delivered to pay tax or an exercise price, followed by a plain statement that there was no open market purchase or sale and the 14,361 shares he now holds directly.
What the definition covers
General Instruction 8 of the Form 4 instructions ties F to the receipt, vesting or exercise of an award under Rule 16b-3. An insider who exercises options and pays the exercise price with shares falls under the same code.
The $260.92 in the MACOM line is a per share figure, as Instruction 5 requires, so by our arithmetic the 241 shares came to about $62,882.
How F differs from S and D
Under S, a buyer on an exchange or in a private deal pays for the shares. Under F the shares go to the company, as in the MACOM footnote, and no market order is placed. An insider who instead has a broker sell vested shares on the market to raise the tax money has made a sale to a market buyer, which by the wording of Instruction 8 is S, and a footnote may say the sale covered taxes. A plan sale is walked through on the code S page.
D also sends shares back to the company, under paragraph (e) of Rule 16b-3, which requires the terms to be approved in advance by the board, a committee of non-employee directors or the shareholders. Note 3 to the same rule says that when a tax withholding right was part of a grant approved that way, using the right later needs no further approval.
