What the SEC filings we read mean, one question per page. A page about a Form 4 code or an 8-K item also lists recent filings from our own copy of EDGAR, each linked to the original on sec.gov.

  1. Insider trading API for Form 4, 13D and 8-K alerts

Pull your own Form 4, Schedule 13D and 13G, and 8-K alerts as JSON, get each one at a signed webhook, or read them from your own AI client over MCP.

  2. Form 4 code P: an insider's open market purchase

Code P on a Form 4 is an insider's open market or private purchase. We read a real P filing line by line and cover the codes that add shares another way.

  3. Form 4 code S: what an insider's sale line means

Code S on a Form 4 is an insider's sale. Acuity's CEO sold 30,247 shares in fifteen lines over two days under a 10b5-1 plan he adopted July 1, 2026.

  4. Form 4 code M: an exempt option exercise

Code M on a Form 4 is an option exercise exempt under Rule 16b-3. Capital One's CEO exercised 40,743 options at $86.34 and sold 90,743 shares that day.

  5. Form 4 code F: shares withheld for tax

Code F on a Form 4 means shares went to the company to pay tax or an exercise price. MACOM withheld 241 of its COO's shares when his RSUs vested.

  6. 8-K Item 1.01, Entry into a Material Definitive Agreement

Item 1.01 of Form 8-K reports a material agreement signed or amended outside the ordinary course. We read a real one, TechPrecision's loan amendment.

  7. 8-K Item 2.02, Results of Operations

Item 2.02 of Form 8-K carries a company's earnings release. We cover what triggers it and why the release is furnished to the SEC rather than filed.

  8. 8-K Item 5.02, Officer and Director Departures

Item 5.02 of Form 8-K reports top officers and directors leaving or joining. We cover paragraphs (a) to (f) and why a departure needs no stated reason.

  9. 8-K Item 1.05, Material Cybersecurity Incidents

How Item 1.05 of Form 8-K works, from the materiality decision that starts the four day clock to the Attorney General delay and voluntary 8.01 reports.

  10. SEC filing glossary: 58 insider trading terms

Fifty-eight terms from Form 4, Schedules 13D and 13G, Form 8-K, other SEC filings, EDGAR and the laws and rules behind them, defined in everyday words.
